Commercial Litigation

Our success in representing corporate clients in commercial disputes is based on our extensive experience and commitment to establishing strong, personal, long-term relationships between attorneys in the firm and our clients. We get to know our clients’ businesses so we can understand their goals, and we work with our clients to prevent litigation from happening at all.

Once litigation does occur, our attorneys have extensive trial and arbitration experience along with a track record of achieving results for our clients. We successfully have tried commercial cases in the Southeast and across the country involving breach of contract, commercial fraud and misrepresentation, bad faith, breach of fiduciary duty, antitrust, franchise, securities, intellectual property, construction and other issues. In many cases, injunctive relief is vital to protecting a client’s interest on short notice. Our commercial litigators have vast experience with temporary restraining orders (TROs) and preliminary injunction hearings.

Efficiency and results are our primary objectives. Representing both national and international companies, we work closely with our clients to insure that we are providing cost-effective services that address the company’s overall goals. Whether we are counseling on litigation avoidance or standing before a jury at trial, our team of commercial litigators is well equipped to handle the situation.

Corporate Law

Leadership and insight to help our clients grow

We’ve earned an international reputation in the areas of economic development and tax incentives through our work to bring Mercedes, Honda and Hyundai to Alabama. But, our Business Group is far more than just economic development.

Much of our general business and corporate law practice involves advising clients on the ordinary course of their businesses, helping review, negotiate and prepare a host of transactions and agreements. We provide general corporate counsel advice on all kinds of businesses from large-scale public companies to not-for-profits. Our attorneys guide clients through complex mergers and acquisitions; we’ve helped clients buy and sell both public and private companies. We offer guidance on a full range of issues dealing with securities, including IPOs and regulatory compliance issues.

As our clients’ businesses have expanded beyond the borders of America, we’ve become increasingly more active in assisting clients with various aspects of international business transactions, including joint ventures with foreign-based partners and international licensing and distribution agreements.

Labor & Employment

Making the most of your greatest asset

If people are truly every business’ greatest asset, then people issues are critical to every business’ success or failure. Legal surprises can affect morale, productivity and, eventually, the bottom line. We work with our clients to prevent or reduce liability, to avoid the morale-sapping conflicts that too often come with labor and employment legal issues.

With one of the most experienced labor practices in the Southeast, Burr & Forman has been at the forefront of developments in labor and employment law for more than half a century; our Atlanta office has a practice that extends nationwide. Our attorneys have represented employers before almost every government agency, as well as in dozens of state and federal courts, including the United States Supreme Court.

We advise clients in such areas as:
* Employment policies and procedures, including “best practices”
* Wrongful termination and employment discrimination disputes, including class actions
* Employment considerations of mergers and acquisitions
* Wage and hour, overtime and exemption issues, including collective actions
* Disability, family and medical leave and employee accommodation
* Unfair labor practice litigation
* Grievance arbitrations
* Employment contracts
* Safety and health
* Hiring, training and job selection criteria
* Responding to union organizing activity
* Strikes, picketing and boycotts
* Civil rights
* Employee benefits
* Workplace torts, co-worker violence and harassment, including technology issues
Unfair competition, restrictive covenants and trade secrets

Preventing Employment Problems
Above all, we help our clients take the necessary steps to prevent potential liability. Our attorneys advise clients on improving day-to-day operations such as employment and disengagement agreements, policies and procedures, regulatory compliance, employment publications and employee training. We evaluate and analyze cases in order to suggest innovative solutions to avoid costly litigation, workforce disruptions and bad publicity.

Resolving Employment Disputes
Burr & Forman represents employers in a variety of disputes including individual and class action employment discrimination cases, workplace safety actions and workers’ compensation claims. Not only do we defend workers’ compensation actions, but we have also represented the Business Council of Alabama in connection with new workers’ compensation laws enacted by the Alabama Legislature.

Employee Benefits
Our attorneys know the complex laws governing the design and administration of employee benefits plans and are well equipped to handle litigation related to these issues. We are experienced in defending plan trustees, plan sponsors and the benefits plan itself. We also handle challenges to the validity of the plan, challenges relating to fiduciary duty and the denial of benefits and other issues that arise under the Employee Retirement Income Security Act of 1974 (ERISA).
